For the creation of a sole proprietorship

A sole proprietorship is a type of business structure that is owned and operated by one individual. There is no legal distinction between the owner and the business entity, meaning the owner is entitled to all profits but is also responsible for all of the business’s debts, losses, and liabilities.

  1. Appointment at the Business Creation Support Office (BCE): When the sole proprietor presents their incorporation documents at the BCE, they are given an appointment to collect the following 24 hours later:
    • The commercial register.
    • The NINEA registration notice.
    • The establishment declaration.

Required Documents:

If you are a Senegalese national:

  • Two (02) copies of the national identity card.
  • A criminal record extract less than 3 months old or a sworn declaration, available at the BCE, filled out and signed by the applicant.
  • A certificate of residence issued by the police or the town hall of your residence, upon presentation of a proof of residence from your district leader.
  • A marriage certificate, if applicable.
  • Two (02) fiscal stamps of 2000 FCFA (for the Commercial Register and for NINEA).

If you are a foreigner:

  • Two (02) copies of the passport.
  • A criminal record from the country of origin less than 3 months old.
  • A certificate of residence (issued by the police or the town hall).
  • A marriage certificate, if applicable.
  • Two (02) fiscal stamps of 2000 FCFA (for the Commercial Register and for NINEA).

Incorporation Fees:

  • 10,000 FCFA for clerk fees for sole proprietorships without a commercial name.
  • 20,000 FCFA for sole proprietorships with a commercial name, which includes:
    • 10,000 FCFA for the registration of the commercial name with the African Intellectual Property Organization (OAPI).
    • 10,000 FCFA for clerk fees.
